Mary McDowell resigned as Chair of the Board and as a director of TechTarget, Inc., effective February 27, 2026. Her resignation was not due to any disagreement with the Company, management, or the Board. Patrick Martell, Chief Executive of Informa Markets and Chief Operating Officer of Informa PLC, was elected to serve as a director and the Chair of the Board, effective March 1, 2026. Mr. Martell was nominated by Informa PLC in accordance with a Stockholder's Agreement dated December 2, 2024. Mr. Martell will not receive compensation under the Company's 2026 non-employee director compensation plan for his role as director and Chair. The Company expects to enter into its standard director indemnification agreement with Mr. Martell. The change in leadership follows the completion of Informa TechTarget's combination program.
