Stark Focus Group, Inc. (the Company) has completed a significant transaction where MJG Polo LLC (the Purchaser) acquired 8,300,000 shares of common stock from Compass North Holdings Limited (the Selling Stockholder). These shares represent approximately 83.43% of the Company's issued and outstanding shares. The transaction, referred to as the Transaction, closed on June 25, 2026. The Purchaser paid a total of $355,000 for the acquired shares. In connection with the transaction, the Board of Directors was expanded, and new leadership was appointed: David I. Rosenberg became Chairman of the Board, and John Lipman was appointed Chief Executive Officer, Chief Financial Officer, and Director. The previous director, president, CEO, treasurer, and secretary, Cao Zhi Fen, resigned, with the resignation not being due to any disagreements.
