Splash Beverage Group (SBEV) has entered into an exclusive global licensing agreement with Argent BioPharma Limited for CannEpil, a pharmaceutical-grade cannabinoid-based investigational therapeutic for drug-resistant epilepsy (DRE). CannEpil is already available in international markets like Ireland, the UK, Germany, and Australia, manufactured under EU-GMP standards. The therapy has been prescribed through regulated patient-access programs, has established reimbursement in Europe, and has engaged with the FDA regarding its U.S. development pathway. Splash plans to use a $1 million strategic investment from C/M Capital Partners to support regulatory advancement, clinical development, commercialization, and strategic partnerships in the U.S. The transaction includes the forgiveness of approximately $5 million of Argent BioPharma indebtedness by Mercer Street Global Opportunity Fund and the issuance of $5.5 million of newly issued Splash preferred equity. Argent BioPharma will receive a 15% royalty on net revenue generated from worldwide sales of CannEpil. The agreement grants Splash exclusive worldwide commercialization rights for an initial twenty-year term, with rights to sublicense.
