Terrell K. Crews and Lourdes Melgar will step down from the Board of Directors of Smurfit Westrock plc. Their departures are effective as of the conclusion of the Company's 2026 Annual General Meeting of Shareholders, which is currently scheduled for May 1, 2026. Following their resignations, the size of the Board will be decreased to 12 directors. The decisions to resign were not related to any disagreement with the Company regarding operations, policies, or practices. Terrell K. Crews will step down as Chair of the Audit Committee and as a member of the Finance Committee. Lourdes Melgar will step down as a member of the Audit and Sustainability Committees. Carole L. Brown will succeed Terrell K. Crews as Chair of the Audit Committee, effective upon his departure. Appropriate succession arrangements will be implemented within the relevant Board Committees.
