Skillsoft Corp. appointed Mr. Arthur Gilliland as a Class II director to its Board of Directors, effective March 25, 2026. Mr. Gilliland will serve on the Audit Committee and as Chair of the Talent and Compensation Committee, effective March 25, 2026. He is currently the Chief Executive Officer of Delinea, Inc., a leader in identity security, and has over 25 years of experience in global enterprise software and cybersecurity. Mr. Gilliland's background includes senior leadership roles at Broadcom (Symantec Enterprise Division), Skyport Systems (acquired by Cisco Systems), HP, Symantec, IMlogic, and Exchange Solutions. He holds several key patents in security and has served on the Boards of Directors for OneSpan (Nasdaq: OSPN) and Gigamon. Mr. Gilliland will receive an annual cash retainer of $50,000 for director service, $10,000 for Audit Committee service, and $25,000 as Chair of the Talent and Compensation Committee, totaling $85,000 annually, prorated for fiscal 2027. He was granted 6,250 restricted stock units (RSUs) valued at $25,625 for expected service until the 2026 Annual Meeting, vesting on the earlier of the meeting or one year from grant. An additional onboarding equity award of 25,000 RSUs, valued at $102,500, was granted, vesting in equal installments over three years, with the first tranche on April 1, 2027.
