Range Impact, Inc. (RNGE) has entered into a material definitive agreement to form a 50/50 joint venture with Time Complexity WV, LLC (a C2 Ventures portfolio company) named Time Complexity Appalachia, LLC. The joint venture aims to develop a power generation and data center facility at the Fola mine site in West Virginia. Range Impact's subsidiary, Range Sky View Land, LLC, and Time Complexity WV will each own a 50% membership interest in the JV Entity. The JV Entity will be managed by a three-person Board of Managers, with each party appointing one manager and the third by mutual agreement. Certain significant actions require unanimous approval from the Board and members. The JV Entity does not require initial cash capital contributions from members; future capital needs may be met through member loans secured by JV assets. Range Impact issued a warrant to Time Complexity WV to purchase up to 14,500,000 shares of common stock at $0.40 per share, vesting upon achievement of three milestones related to state support, feasibility studies, and commercialization agreements. Range Sky entered into an Option to Lease Agreement with the JV Entity for approximately 9,000 acres at the Fola Mine Complex, with a nominal annual rent on a triple net basis and an option to purchase at $10,000 per acre. The company also announced this formation via press release on July 1, 2026.
