Josh Blacher will resign as Chief Financial Officer effective May 18, 2026. Jeremy Yaukey-Witter, formerly the Company's Controller, has been appointed as co-CFO from April 16, 2026, through May 18, 2026, after which he will become the sole CFO. The transition is not due to any disagreement regarding operations, policies, or practices. Jeremy Yaukey-Witter's compensation package includes a $280,000 annual base salary, eligibility for a 0% to 40% annual cash bonus, and an inducement grant of 225,000 stock options. The stock options have a three-year vesting schedule and an exercise price of $3.51 per share.
