Mr. Martin's appointment is effective July 3, 2026, and he will serve until the company's next annual meeting of stockholders. Manuel Vizcaino has resigned from the Board of Directors, effective July 3, 2026, in connection with Mr. Martin's appointment. Mr. Vizcaino's resignation was not due to any disagreements with the company.
