Lumen Technologies and Qwest Corporation settled exchange offers for outstanding notes on June 11, 2026. Qwest issued $1,002,320,075 in 6.500% Notes due 2051 and $381,528,000 in 6.750% Notes due 2052. The new notes are fully and unconditionally guaranteed by Lumen Technologies. Consent solicitations were successful, resulting in the elimination of substantially all restrictive covenants in the indentures governing the Old Qwest Notes (6.5% Notes due 2056 and 6.75% Notes due 2057).
