Korn Ferry has entered into a definitive agreement to acquire AMS, a UK-headquartered company, for an aggregate purchase price of approximately $1.1 billion. The acquisition will be funded through a combination of cash ($881 million) and Korn Ferry common stock ($255 million). The deal is expected to create a global leader in talent and organizational consulting, combining Korn Ferry's expertise with AMS's strengths in Recruitment Process Outsourcing (RPO), Early Careers, Contingent Workforce Solutions, and Consulting. AMS is generating approximately $650 million in Fee Revenue and $100 million in Adjusted EBITDA on a current annual run-rate basis. Korn Ferry estimates AMS's run-rate Adjusted EBITDA contribution within a year post-closing to be approximately $140 million. The transaction is subject to regulatory approvals and is anticipated to close in Korn Ferry's second fiscal quarter of FY27. The acquisition is expected to be immediately accretive to earnings per share in the first full year after accounting for restructuring, integration, and transaction costs. AMS's existing contracts are expected to add over $1.5 billion in estimated remaining fees, enhancing revenue visibility.
