Heritage Commerce Corp (Heritage) and CVB Financial Corp. (CVBF) have obtained all requisite regulatory approvals for their previously announced merger. The merger involves Heritage merging with and into CVBF, and Heritage Bank of Commerce, Heritage's wholly-owned subsidiary, merging with and into Citizens Business Bank, CVBF's wholly-owned subsidiary. The closing of the mergers is presently expected to occur on April 17, 2026. The completion of the mergers remains subject to the satisfaction or waiver of the remaining closing conditions set forth in the Agreement and Plan of Reorganization and Merger, dated December 17, 2025.
