Hamilton Insurance Group, Ltd. and its subsidiary, Hamilton Re, Ltd., entered into a new Investment Agreement with Two Sigma Hamilton Fund, LLC, effective April 1, 2026. The new agreement replaces the previous Commitment Agreement dated July 1, 2023. Hamilton Re commits to maintaining an investment in the Fund equal to the lesser of $1.8 billion or 60% of the Group's net tangible assets. The agreement introduces a two-tier withdrawal structure: Sub-Series A (amounts above the minimum commitment) and Sub-Series B (amounts at or below the minimum commitment). Sub-Series A withdrawals require 55 days' notice, while Sub-Series B withdrawals are subject to a six-month notice period and monthly limitations.
