The Glimpse Group, Inc. has entered into a Master Purchase Agreement to sell all membership interests in its wholly-owned subsidiary, Glimpse Learning, LLC, along with certain assigned assets. The buyer is Glimpse Learning, Inc., a newly-formed Wyoming company, where Lyron Bentovim, former CEO of The Glimpse Group, is the largest shareholder. The purchase price includes 1,999,999 shares of the Buyer's common stock (19.99% equity interest), ongoing royalty payments, and assumption of specified liabilities. Royalty payments are set at 7% of revenue from July 1, 2027, to December 31, 2027, and 10% thereafter, capped at an aggregate of $1,200,000. The Buyer has an option to buy out the royalty obligation for $1,000,000 cash by December 30, 2027. The Company also made payments to the Buyer totaling $76,000 for services and a $200,000 working capital adjustment payment on June 30, 2026. The divestment is part of a strategic shift to transform Glimpse into a pureplay Physical AI infrastructure company, focusing on Brightline Interactive and its SpatialCore platform. Pro forma financial statements indicate a reduction in revenue and operating expenses following the divestiture.
