Eightco Holdings entered into an Amended and Restated Consulting Agreement with Worldcoin Tower LLC, effective May 1, 2026. The agreement expands the scope of services to include a 'Strategic Asset Strategy' comprising a Digital Asset Treasury Strategy and a new Strategic Investment Strategy. The Consultant is authorized to manage assets, select operational partners, and engage in activities such as staking, derivatives, and equity investments. The company will pay a management fee of 1.00% per annum on total Assets Under Management (AUM). The Consultant is eligible for one-time incentive milestone payments upon reaching AUM thresholds of $1 billion, $5 billion, and $10 billion.
