Conduent Incorporated is selling its Tolling business, a division of Conduent Transportation, to Quarterhill Inc. The sale price is $70 million in cash, with Quarterhill assuming most liabilities associated with the business, including surety bond obligations. Conduent will also receive a 7% equity interest in Quarterhill Inc., including registration rights and board observer rights. The transaction is expected to close before the end of 2026. This sale follows a previously announced agreement to sell Conduent's Public Transit business, also part of its Transportation division. These divestitures are part of Conduent's strategy to simplify its portfolio, focus on core businesses, and strengthen its financial foundation. The Tolling business provides technology for electronic tolling, roadside and back-office processing, image review, violation enforcement, and analytics, handling over 14 million tolling transactions daily.
