Community Health Systems, Inc. (CYH) completed the divestiture of substantially all assets of Crestwood Medical Center in Huntsville, Alabama, and its associated outpatient centers and practices. The sale was made to The Health Care Authority of the City of Huntsville, d/b/a Huntsville Hospital Health System, for $459 million in cash. The purchase price is subject to a post-closing working capital adjustment and before certain transaction expenses. The transaction resulted in a pro forma pre-tax gain on sale of $185 million ($138 million after tax) for the year ended December 31, 2025. Pro forma financial statements for the year ended December 31, 2025, show a decrease in net operating revenues by $327 million and an increase in net loss attributable to stockholders by $101 million, leading to a higher loss per share.
