Banner Corporation appointed Monica B. O'Reilly and Judith A. Steiner as new independent directors, effective March 1, 2026. The Board of Directors was expanded from 12 to 13 members to accommodate the new appointments. Ms. O'Reilly will serve on the Corporate Governance/Nominating and Risk Committees. Ms. Steiner will serve on the Credit Risk and Risk Committees. Both new directors will receive an annual cash retainer of $55,000 and an RSU award with a grant date fair value of $65,000, plus additional retainers for committee service.
