Anterix's wholly-owned subsidiary, PDV Spectrum Holding Company, LLC, entered into a 900 MHz spectrum license sale agreement with Texas-New Mexico Power (TNMP). The agreement involves the sale of a 900 MHz broadband license covering portions of Brazoria and Galveston counties in Texas. The total contract price for the spectrum license is $3.2 million, with payments phased over time. TNMP will deploy a mission-critical private wireless network using this spectrum to strengthen grid reliability, increase resiliency, and support essential service improvements as part of its 2025-2027 System Resiliency Plan. Anterix is committed to clearing incumbents from the 900 MHz broadband allocation in TNMP's service territory and will work with TNMP to secure FCC broadband licenses. Spectrum delivery will occur in two phases: Phase 1 in 2027 with two 1.4 x 1.4 MHz channels, and Phase 2 by December 31, 2028, for the full 6 MHz. Anterix and TNMP also signed a Memorandum of Understanding (MOU) to negotiate a Master Agreement for Anterix's deployment accelerators (CatalyXTM and TowerXTM) and to collaborate on accelerating utility industry momentum for 900 MHz private wireless networks.
