Michael E. Olsen, EVP, General Counsel, and Chief Corporate Responsibility Officer, will transition to Senior Executive Counsel, Capital Transformation, effective October 1, 2026. Mr. Olsen will retire from the company on December 31, 2027. A Transition, Retention and Retirement Agreement provides for a $3,575,000 lump-sum cash retention payment, contingent upon continued employment through the retirement date. The agreement includes clawback provisions for the retention payment if employment terminates early without a qualifying event.
