Talphera, INC Schedule 13D activist filings

CorMedix Inc. has acquired a significant stake in Talphera, Inc. and secured exclusive negotiation rights for a potential full acquisition, contingent on clinical trial results.

Talphera, Inc. has entered into a Securities Purchase Agreement to raise up to approximately $7.5 million through the issuance of pre-funded warrants and common stock, with subsequent tranches contingent on clinical trial progress and stock price performance.

Nantahala Capital Management, LLC, along with its principals, has increased its beneficial ownership in Talphera, Inc. to 11.7% through a pre-funded warrant purchase and committed to additional investments contingent on clinical trial patient enrollment and stock price performance.
