Playa Hotels & Resorts NV Schedule 13D activist filings

Hyatt Hotels Corporation has finalized its acquisition of Playa Hotels & Resorts N.V., making it an indirect wholly-owned subsidiary and delisting its Ordinary Shares from Nasdaq.

Hyatt Hotels Corporation, through its subsidiary HI Holdings Playa B.V., has completed the acquisition of a controlling 94.4% stake in Playa Hotels & Resorts N.V. for $13.50 per share, funded by debt financing.

Davidson Kempner Capital Management and its affiliates have fully divested their 11.89 million Ordinary Shares in Playa Hotels & Resorts N.V. through a block trade at $13.28 per share, marking their complete exit from the investment.

Davidson Kempner Capital Management LP and its affiliates have filed an Amendment No. 4 to their Schedule 13D, confirming a 9.67% beneficial ownership in Playa Hotels & Resorts N.V. and disclosing cash-settled derivative agreements representing an additional 3.28% economic exposure.

Hyatt Hotels Corporation has initiated a tender offer to acquire all outstanding ordinary shares of Playa Hotels & Resorts N.V. for $13.50 per share in cash, aiming to make Playa a wholly-owned subsidiary.

Hyatt Hotels Corporation and its subsidiaries have extended their exclusivity agreement with Playa Hotels & Resorts N.V. through February 10, 2025, maintaining their significant beneficial ownership stake.
